1. Scope of Application These General Terms and Conditions apply to all business relationships between Roofas EU d.o.o. (hereinafter “Distributor”) and our customers (hereinafter “Client”). Our offerings are strictly and exclusively directed at commercial B2B clients, legal entities, and public institutions.
2. Offers and Project Proposals All preliminary proposals, calculations, and quotes generated via our “Facility Advisor” tool are non-binding. A binding contract is only formed upon our written order confirmation or the signing of a formal B2B supply agreement.
3. Product Specifications and Standards We distribute Panelchok™ HDPE polymer systems and PVC claddings. The products comply with DIN EN 15635 standards for the application and maintenance of storage equipment. While our zero-drill technology is designed to absorb kinetic energy and prevent concrete damage, the exact performance depends on proper installation, forklift weight, and vehicle speed.
4. Intellectual Property & Confidentiality Any blueprints, layouts, or facility photographs submitted by the Client for engineering assessments remain the strict intellectual property of the Client. The Distributor agrees to use these documents solely for the purpose of preparing quotes and installation plans.
5. Prices and Payment Terms Unless otherwise stated, all prices are net prices excluding statutory value-added tax (VAT) and shipping costs. Payment terms will be specified in the individual B2B contract or invoice.
6. Retention of Title The delivered goods remain the property of Roofas EU d.o.o. until all claims arising from the business relationship with the Client have been fully settled.
7. Governing Law and Jurisdiction The business relationship between the Distributor and the Client is governed by the laws, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).
